Amazon founder Jeff Bezos has filed a plan to sell about 15 million Amazon shares worth around $4.1 billion, just after the company's strong quarterly earnings pushed its stock to a record high. Following the filing, Amazon shares fell more than 2% on Tuesday.
According to a Form 144 filed with the US Securities and Exchange Commission (SEC), Bezos plans to sell the shares under a Rule 10b5-1 trading plan that he adopted on November 14, 2025. The filing said the sales were carried out on Monday through Morgan Stanley, according to CNBC.
After the filing became public, Amazon's stock fell more than 2% on Tuesday, closing at $277.42, down $6.60 from the previous session. However, the stock was still trading slightly higher in after-hours trading at $277.80, up 0.14%.
The company's shares had touched an all-time high of $284.02 on Monday. Even after Tuesday's fall, Amazon's stock is still up about 20% this year, compared with a 12% gain in the S&P 500 index. Amazon reported $200.61 billion in revenue during the April-June quarter and earnings of $5.75 per share.
A major reason for the strong earnings was Amazon Web Services (AWS), the company's cloud computing business, which performed better than expected. The results also showed that Amazon's massive spending on artificial intelligence (AI) is starting to bring in more business.
The filing says the 15 million shares were founder shares that Bezos received when he started Amazon in 1994. The filing also revealed that Bezos donated 220,200 Amazon shares to non-profit organisations in May.
Amazon expects third-quarter revenue to be between $197 billion and $202 billion. It also forecasts operating income of $22.5 billion to $26.5 billion, up from $17.4 billion in the same quarter last year. The SEC filing also said Bezos had not sold any Amazon shares in the three months before this filing.
