Nectar Lifesciences Ltd has announced an ₹81-crore share buyback, approved by its board at a meeting held on Wednesday, December 3, 2025.


The company will repurchase three crore fully paid-up equity shares at ₹27 per share through the tender offer route, representing up to 13.38% of its paid-up equity capital.


The buyback size is within the 10% limit of its total paid-up capital and free reserves based on FY25 audited financials.


According to the exchange filing, the buyback will be open to all eligible shareholders except promoters and promoter group members, who have formally expressed their intention not to participate.


The company has appointed Master Capital Services Ltd as the manager to the buyback. The record date to determine shareholder eligibility has been fixed as December 24, 2025.


Q2 Results


Nectar Lifesciences posted a steep deterioration in its standalone financial performance for the quarter ended September 2025, with revenue and profitability falling sharply year-on-year. The company’s net sales plunged 98.83% to ₹5 crore, compared to ₹428.10 crore in the same quarter last year.


The downturn resulted in a significant widening of losses. Nectar Lifesciences reported a net loss of ₹176.01 crore, compared to a loss of ₹5.60 crore in September 2024 — a jump of 3,243%. Operating performance also weakened substantially, with EBITDA turning negative at ₹0.31 crore, down from ₹44.02 crore a year ago.


Shares of Nectar Lifesciences Ltd ended lower on Wednesday, December 3, by 2.70% at ₹18 on the NSE.
